They do not replace any separate written proposal, statement of work, invoice, service agreement, or project work order signed or accepted by the client. If a separate written agreement conflicts with these Terms, the separate written agreement will control for that specific project or service.

1. Use of This Website

You agree that you will not use this website for any unlawful, fraudulent, harmful, or abusive purpose; attempt to gain unauthorized access to the website, server, systems, forms, accounts, or data; interfere with the security, functionality, performance, or availability of the website; copy, scrape, reproduce, or misuse website content without permission; submit false, misleading, infringing, or unlawful information through the website; or use this website in any way that could damage Whitestone Web Solutions or any third party.

The specific scope, deliverables, timelines, pricing, revision limits, payment terms, ownership terms, cancellation terms, and ongoing service terms for any project may be set out in a separate proposal, invoice, statement of work, service agreement, subscription, or project work order.

3. No Professional Legal, Financial, or Tax Advice

Whitestone Web Solutions provides digital strategy, website, marketing, CRM, and automation-related services. We do not provide legal, tax, accounting, financial, or regulatory advice.

Any business, marketing, automation, SEO, website, or operational suggestions are provided for general business and digital service purposes only. Clients should consult qualified legal, tax, accounting, financial, or compliance professionals when needed.

4. No Guaranteed Results

Whitestone Web Solutions works to provide professional, strategic, and high-quality services. However, business, marketing, SEO, CRM, automation, review, and website results cannot be guaranteed.

Whitestone Web Solutions does not guarantee specific search engine rankings, website traffic, leads, calls, bookings, sales, revenue, profits, conversion rates, review counts, ratings, customer growth, advertising performance, third-party platform outcomes, or any exact business result.

Results may vary based on many factors, including market conditions, competition, business reputation, pricing, service quality, budget, customer demand, location, existing online presence, responsiveness, industry trends, search engine algorithms, third-party platform rules, and client implementation.

5. Client Responsibilities

Clients are responsible for providing accurate, complete, lawful, and timely information necessary for Whitestone Web Solutions to perform services.

This may include business information, service descriptions, pricing information, branding materials, logos, images, videos, website access, domain access, hosting access, CRM access, analytics access, Google Business Profile access, account approvals, feedback, revisions, payment, and any legally required consents, permissions, or disclosures.

Clients are responsible for ensuring that all content, materials, claims, testimonials, images, logos, trademarks, customer information, and business information provided to Whitestone Web Solutions are accurate, lawful, and properly authorized for use.

Delays in providing access, information, approvals, feedback, or payment may delay project timelines and deliverables.

6. Payments, Billing, and Project Terms

Fees, deposits, recurring charges, due dates, payment schedules, deliverables, project timelines, refund terms, cancellation terms, and other project-specific details may be set out in a separate proposal, invoice, service agreement, subscription, or project work order.

Unless otherwise stated in writing, payments for completed work, setup work, strategy work, design work, development work, consulting, digital assets, administrative time, third-party costs, and reserved project time may be non-refundable.

Whitestone Web Solutions may pause, delay, or terminate services if payment is not received on time, required access is not provided, the project scope changes without approval, or the client fails to cooperate in a way that reasonably prevents completion of the work.

7. Scope Changes and Revisions

Any services outside the agreed project scope may require additional fees, timeline adjustments, or separate written approval.

Requested changes, revisions, added pages, new features, additional integrations, new automations, content rewrites, design changes, platform migrations, troubleshooting, or expanded functionality may be considered out of scope unless specifically included in the agreed project terms.

8. Third-Party Tools, Platforms, and Services

Whitestone Web Solutions may use third-party tools, software, platforms, and service providers to perform services and operate client systems. These may include website hosting providers, domain registrars, website builders or frameworks, CRM platforms, white-label software platforms, automation tools, analytics platforms, form tools, scheduling tools, email and SMS providers, payment processors, review platforms, cloud storage providers, design tools, development tools, project management tools, search engines, and online directories.

Clients acknowledge that third-party platforms may have their own terms, policies, fees, limitations, outages, bugs, data practices, service interruptions, account restrictions, pricing changes, or functionality changes.

Whitestone Web Solutions is not responsible for losses, delays, outages, data loss, account suspensions, deliverability issues, ranking changes, software errors, billing changes, or service interruptions caused by third-party platforms or providers.

For CRM, review automation, lead follow-up, and communication services, Whitestone Web Solutions may configure, customize, manage, or provide access to third-party or white-label software. Unless expressly stated in a signed written agreement, Whitestone Web Solutions does not represent that it owns or has built all underlying CRM, communication, automation, or platform software from scratch.

9. Email, SMS, CRM, and Review Automation Compliance

If Whitestone Web Solutions helps configure email, SMS, CRM, review request, lead follow-up, appointment, or other automated communication systems, the client remains responsible for using those systems lawfully and responsibly.

Clients are responsible for obtaining any required consent before contacting leads, customers, or users; providing accurate customer or lead information; honoring unsubscribe, stop, opt-out, and communication preference requests; avoiding spam, deceptive messages, harassment, or unlawful communication practices; complying with applicable email, SMS, telemarketing, privacy, consumer protection, and review platform rules; ensuring review requests comply with applicable review platform policies; and ensuring customer data is collected, stored, and used with proper authorization.

Whitestone Web Solutions may assist with setup and configuration, but the client is responsible for the legal use of the systems and the content of messages sent to customers, leads, or third parties.

10. Client Content and Approvals

Clients are responsible for reviewing and approving website copy, service descriptions, claims, pricing, images, automations, forms, messages, emails, SMS templates, review requests, and other materials before publication or use.

Once a client approves materials, the client accepts responsibility for the accuracy and legality of those materials, unless otherwise stated in a separate written agreement.

11. Intellectual Property

The Whitestone Web Solutions website, including its copy, branding, graphics, design elements, layout, structure, and original materials, is owned by Whitestone Web Solutions or used with permission and is protected by applicable intellectual property laws.

Clients retain ownership of materials they provide to Whitestone Web Solutions, including logos, brand assets, photographs, business information, and other client-owned materials, provided the client has the legal right to use those materials.

Ownership of final project deliverables, website files, designs, copy, custom code, templates, strategies, automations, accounts, and related materials may be governed by a separate written agreement, proposal, invoice, or work order.

Whitestone Web Solutions may retain ownership of pre-existing templates, frameworks, internal processes, reusable components, know-how, design systems, code snippets, workflows, and methods used to provide services, unless otherwise agreed in writing.

12. Portfolio Use

Unless otherwise agreed in writing, Whitestone Web Solutions may reference completed work in its portfolio, website, proposals, case studies, social media, or marketing materials. This may include the client's business name, website link, screenshots, general description of services, and publicly visible work product.

Whitestone Web Solutions will not knowingly publish confidential client information without permission.

13. Confidentiality

During a project, each party may receive non-public information from the other. Whitestone Web Solutions will take reasonable steps to protect confidential client information and will use it only as needed to provide services, operate the business, or comply with legal obligations.

Confidential information does not include information that is publicly available, independently developed, already known, or lawfully received from another source.

14. Disclaimer of Warranties

This website and our services are provided on an "as available" and, unless otherwise agreed in writing, "as is" basis.

To the fullest extent permitted by law, Whitestone Web Solutions disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, or that any service will achieve a specific business outcome.

15. Limitation of Liability

To the fullest extent permitted by law, Whitestone Web Solutions will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost leads, lost rankings, lost data, business interruption, reputational harm, third-party platform errors, software outages, account restrictions, or missed opportunities.

To the fullest extent permitted by law, Whitestone Web Solutions' total liability for any claim arising from or related to the website, services, project, or these Terms will not exceed the amount paid by the client to Whitestone Web Solutions for the specific service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply.

16. Indemnification

You agree to defend, indemnify, and hold harmless Whitestone Web Solutions, its owners, team members, contractors, representatives, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the website or services; information, materials, or content you provide; your business practices; your use of CRM, email, SMS, automation, review, or third-party systems; your violation of these Terms; your violation of applicable law; your violation of another party's rights; or claims made by your customers, leads, vendors, or third parties.

17. Termination

Whitestone Web Solutions may suspend or terminate access to services if a client violates these Terms, fails to pay, misuses services, fails to provide necessary cooperation, engages in unlawful conduct, or creates a risk to Whitestone Web Solutions, its systems, its reputation, or third parties.

Termination does not eliminate any payment obligations for work already completed, costs already incurred, or services already provided.

18. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.

Any disputes arising from or related to these Terms, the website, or services will be handled in the appropriate courts located in Georgia, unless otherwise required by law or agreed in writing.

19. Changes to These Terms

Whitestone Web Solutions may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the website or services after changes are posted means you accept the updated Terms.
